Acceptance of Terms

By accessing and using the Claviger.AI website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services. Claviger.AI Inc. reserves the right to modify these terms at any time. Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes.

Description of Service

Claviger.AI provides an operating system for trusted AI execution designed to enforce governance, compliance, and safety controls at operational speed. The platform enables organizations to implement cryptographic enforcement of policies, real-time monitoring, and auditable logging of AI agent activities. Our Services are provided for evaluation, demonstration, and production deployment purposes, subject to your agreement to these terms and applicable service agreements.

User Responsibilities

You agree to use the Services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behavior includes:

  • Harassing or causing distress or inconvenience to any person
  • Transmitting obscene or offensive content
  • Disrupting the normal flow of dialogue within the Services
  • Attempting to gain unauthorized access to our systems or networks
  • Using the Services to conduct illegal activities or violate any laws or regulations
  • Reverse engineering, decompiling, or attempting to discover source code or proprietary information
  • Removing or obscuring any proprietary notices or labels

Intellectual Property Rights

All content, features, and functionality of the Claviger.AI website and platform—including but not limited to software, source code, documentation, design, graphics, text, and compilation thereof—are the exclusive property of Claviger.AI Inc., its parent company GIS QSP, or their respective licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your own personal or internal business purposes. This license does not include any right to:

  • Modify or prepare derivative works
  • Copy or reproduce the Services
  • Distribute, sell, rent, lease, transfer, or sublicense the Services
  • Remove any proprietary notices or labels
  • Use the Services to develop competing products or services

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLAVIGER.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The total liability of Claviger.AI in connection with these Terms and your use of the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Claviger.AI Inc., GIS QSP, and their respective officers, directors, employees, agents, and successors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services
  • Your violation of these Terms of Use
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Any content you submit or transmit through the Services

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under or relating to these terms shall be brought exclusively in the courts located in Auburn, Alabama, and you hereby consent to the personal jurisdiction and venue of such courts.
